1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User", or "You") and Zokera Tech Private Limited, operating under the brand name Webbaaz("Company", "We", "Us", or "Our").

By accessing or using our website https://webbaaz.com, requesting technical consultations, or entering into a Statement of Work (SOW) or Master Service Agreement (MSA) for custom IT engineering, web applications, mobile apps, CRM solutions, business automation, or digital marketing services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Scope of B2B IT & Software Engineering Services

Webbaaz provides custom technology solutions and IT consulting services for B2B enterprises, startups, and organizations, including but not limited to:

• Web Application Development: Custom frontend & backend software engineering, Next.js/React applications, microservices, and RESTful API integrations.
• Mobile App Development: Cross-platform (iOS & Android) mobile application engineering, UI/UX prototyping, and mobile API architectures.
• E-Commerce Solutions: Custom online storefronts, payment gateway integrations, inventory management, and headless e-commerce architectures.
• CRM & Enterprise Systems: Tailored Customer Relationship Management (CRM) development, ERP workflow integrations, and internal management tools.
• Business Automation & Workflows: API integrations, cloud automation pipelines, automated messaging (including WhatsApp API setups), and data workflow synchronization.
• Digital Growth & Marketing: Search Engine Optimization (SEO), digital marketing campaign management, conversion rate optimization, and brand strategy.
• Dedicated Maintenance & Tech Support: ongoing cloud maintenance, server optimization, bug fixes, and long-term tech partnerships.

3. Proposals, Statements of Work (SOW) & Milestone Execution

Individual projects executed by Webbaaz will be defined in a mutually agreed Statement of Work (SOW), Proposal, or Service Agreement detailing scope, deliverables, timeline, milestones, and cost structures:

• Scope Adjustments & Change Orders: Any requested feature modifications, additions, or scope revisions outside the agreed SOW will be documented as a Change Order and billed at our standard hourly or module rates.
• Client Collaboration & Delays: Timely project completion depends on prompt client feedback, content approvals, and provision of necessary credentials. Delays caused by client inaction will extend project delivery timelines accordingly.

4. Intellectual Property Rights & Code Ownership

We respect intellectual property rights and follow standard corporate code transfer terms:

• Custom Code Ownership Transfer: Upon 100% full payment of all agreed invoice fees for a project module, the Client receives full ownership rights of the custom deliverables, source code, database structures, and designs engineered specifically for the Client as specified in the SOW.
• Pre-existing Assets & Frameworks: Webbaaz retains ownership of pre-existing software tools, open-source libraries, utility scripts, and reusable core frameworks utilized during development. The Client is granted a non-exclusive, perpetual, royalty-free license to use such embedded elements within their custom solution.

5. Financial Terms, Invoicing & Tax Compliance

Unless explicitly modified in a signed SOW, financial terms are structured as follows:

• Payment Schedules: Projects are billed on milestone schedules, retainer cycles, or upfront deposit structures as outlined in individual proposals.
• Taxes: All fees quoted are exclusive of statutory taxes. Applicable Goods and Services Tax (GST) under Indian tax laws will be added to invoice totals.
• Late Payment & Staging Release: Final deployment to production environments or code repository handovers are subject to settlement of due milestone invoices. Webbaaz reserves the right to suspend development or pause staging access in the event of unpaid invoices overdue by more than 15 business days.

6. Mutual Confidentiality & Non-Disclosure

Both parties agree to hold in strict confidence all non-public technical data, trade secrets, business workflows, financial details, customer information, and proprietary algorithms disclosed during project engagement. Confidential information will not be disclosed to third parties without prior written consent.

7. Warranties, Support & Limitation of Liability

• Bug Fix Warranty: Unless stated otherwise in the SOW, custom software projects include a standard 30-day post-launch warranty period for resolving critical bugs or functional discrepancies directly attributable to original development code.
• Limitation of Consequential Damages: To the maximum extent permitted by applicable law, neither Zokera Tech Private Limited nor its directors, engineers, or agents shall be liable for indirect, incidental, special, or consequential damages (including loss of business profits, data corruption, or operational downtime) arising out of or in connection with third-party software, cloud hosting downtime, or client code modifications.
• Cap on Liability: The aggregate monetary liability of Zokera Tech Private Limited for any claims under these Terms shall not exceed the total fees paid by the Client to Webbaaz under the specific SOW during the preceding three (3) months.

8. Termination of Services

Either party may terminate an active service agreement by providing thirty (30) days written notice. In the event of early termination, the Client remains responsible for payment of all work completed, billable hours accrued, and milestones delivered up to the effective termination date.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings, disputes, or claims arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts located in Gurugram, Haryana, India.
